1. Acceptance of Terms

By accessing or using Certly Prep ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and Vorentoe LLC ("we," "us," or "our").

2. Description of Service

Certly Prep is an independent exam preparation tool designed to help individuals study for professional certifications. The Service provides practice questions, quizzes, exam simulations, flashcards, and AI-powered explanations and coaching to support your study efforts.

3. Account Registration

To access certain features of the Service, you must create an account using Google OAuth via Firebase Authentication. By creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your Google account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 13 years old to create an account. We reserve the right to terminate accounts that violate these Terms.

4. Subscription & Billing

Certain features of the Service require a paid subscription. Billing is processed securely through Stripe.

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.
• Refunds: We offer refunds within 7 days of the initial subscription purchase if you have not materially used the Service. Subsequent renewal charges are generally non-refundable. To request a refund, contact us at info@govorentoe.com.
• Price Changes:We may change subscription prices with at least 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new price.

5. AI-Generated Content Disclaimer

Certly Prep uses Google Gemini API to power AI-generated explanations, coaching feedback, and study content. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or outdated information and should not be your sole source of study material.
• AI explanations are not a substitute for official training, authorized courseware, or guidance from certified instructors.
• Certly Prep does not guarantee that use of this Service will result in passing any certification exam.
• Your interactions with AI features may be processed by Google in accordance with Google's terms of service and privacy policy.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, software, and question content created by Vorentoe LLC — are owned by Vorentoe LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, or exploit any portion of the Service without our prior written consent. Content you upload to the Service remains your property; by uploading it, you grant us a limited license to process it for the purpose of delivering the Service to you.

7. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Share your account credentials with others
• Attempt to reverse-engineer, scrape, or copy Service content or exam questions
• Upload content that is unlawful, harmful, or infringes third-party rights
• Interfere with the security or integrity of the Service
• Use the Service to violate any certification program's rules or honor codes

8. Limitation of Liability

To the fullest extent permitted by applicable law, Vorentoe LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and governing law sections.

10. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia.
